Terms of Service

1. Introduction & Acceptance

Welcome to ZapNPay, a service provided by Digify Platforms, Inc., a Delaware corporation ("Company," "we," "us," or "our"). By accessing or using ZapNPay's services, you ("Customer," "you") agree to these Terms of Service ("ToS") and any referenced Order Forms or addenda ("Agreement").

These Terms constitute a legally binding agreement between you and Digify Platforms, Inc. If you do not agree to these Terms, you may not access or use our Services.

2. Definitions

"Service" refers to ZapNPay's SaaS offerings—invoice creation, secure payments (via Stripe, PayPal, bank transfers), smart reports, subscription management, and related features.

"Order Form" means the subscription agreement detailing plan level, fees, billing cycle, and other specifics.

"Customer Data" means all data, content, and information you upload, store, or process through our Service.

3. Subscription Terms & Payments

Service is provided on a subscription basis. Billing occurs per the agreed cycle (e.g., monthly, annually).

All fees are non-refundable except as expressly stated in this Agreement or required by applicable law.

Nonpayment may lead to account suspension or termination. We will provide at least 15 days notice before suspending your account for non-payment.

4. Use Restrictions & Acceptable Use

You agree only to use the Service for lawful purposes. The following activities are strictly prohibited:

• Fraudulent activities or misrepresentation
• Reverse engineering, decompiling, or attempting to extract source code
• Interfering with or disrupting the Service
• Violating any applicable laws or regulations
• Transmitting malware, viruses, or harmful code
• Abusive behavior toward our staff or other users

5. User Content & Data Ownership

You retain ownership of all data uploaded to ZapNPay ("Customer Data").

You grant Digify Platforms, Inc. a limited license to use Customer Data solely for the purpose of providing and improving the Service.

We will not use your data beyond operational management, except as legally required or consented by you.

6. Modifications to ToS

Digify Platforms, Inc. may update these Terms from time to time. Material changes will be communicated at least 30 days in advance via email or in-app notification.

Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

7. Termination & Suspension

Either party may terminate this Agreement upon 30 days written notice.

Upon termination, your access to the Service ceases. Your Customer Data will be available for export for 30 days, after which it will be securely deleted.

We may suspend or terminate your account immediately for violations of these Terms.

You agree to indemnify, defend, and hold harmless Digify Platforms, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights

10. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of New York, United States, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration in New York, NY, in accordance with the rules of the American Arbitration Association.

You agree that any claim must be brought within one (1) year after the cause of action arises.

11. Miscellaneous Provisions

Assignment: You may not assign this Agreement without our prior written consent. We may assign our rights and obligations to an affiliate or successor.

Entire Agreement: This Agreement constitutes the entire agreement between you and Digify Platforms, Inc. regarding the Service.

Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

Waiver: Failure to enforce any right does not constitute a waiver of that right.
